These Sales Partner Terms (the Agreement) govern participation in Platehaus's Sales Partner Program. By joining, you agree to this Agreement, the Terms of Use, and the Refund & Dispute Policy (Malaysia) (incorporated by reference). We operate under a Merchant-of-Record (MoR) model with payments routed solely via secure platform payment via DuitNow & RENTAS, not any regulated custodial or remittance service.
1. Interpretation & Precedence
1.1 Key Definitions. Platform: platehaus.my and related services. Completion Event (CE): dual confirmation by Buyer and Seller recorded in the Platform that JPJ transfer/assignment is completed, supported by transfer documentation uploaded via the fulfilment flow. Platehaus may perform reasonableness checks; unless flagged or in dispute, Platehaus does not independently verify authenticity at CE. Final Sale Price: the retail price paid by the Buyer for the plate (exclusive of taxes). Qualified Conversion: see §5. Affiliate Job: a commission opportunity or program structure displayed on the Affiliate Job Board page of the Platform, which sets forth the commission rates, tier structures, calculation methodologies, and other terms applicable to that specific opportunity. Commission: amount payable to Partner calculated based on the applicable Affiliate Job settings as displayed on the Platform at the time of the Qualified Conversion, per §6 and Schedule A.
1.2 Stack-Wide Precedence. Unless a role-specific document states a more specific order for its domain, the order of precedence is:
- Refund & Dispute Policy (Malaysia) → 2) Role-specific terms (these Sales Partner Terms; Buyer Terms; Seller/Supplier Agreement) → 3) Terms of Use.
1.3 Versioning. This Agreement shows a version and Last Updated date. Updates to this Agreement apply prospectively per §14. Affiliate Job changes (per §14.1) may occur without notice and are separate from Agreement updates.
2. Role & Relationship (Independent Contractor)
You participate as an independent contractor. Nothing creates employment, agency, partnership, fiduciary duties, or authority to bind Platehaus. You must not hold yourself out as Platehaus’s agent. You are responsible for your taxes and compliance. MoR posture: commissions are funded by Platehaus from the economics of the retail sale; we are not collecting on your behalf as agent or fiduciary custodian.
3. Eligibility & Enrollment
- Who may join: Individuals (21+), sole-proprietors, and companies.
- Territory: Global marketing permitted, subject to law.
- KYC/Review: No routine KYC, but we may require KYC (e.g., NRIC/SSM/bank letter) if flagged or risk is suspected; we may audit/review without notice where reasonably necessary. Payment accounts must be in your own legal name (no third-party recipients).
- No self-referrals and no self-buy eligibility (see §5.3).
4. Referral Mechanics & Attribution
4.1 Referral Methods. Link and Code only (no lead-form registration). Codes are for attribution, not discounts.
4.2 Attribution Rules (No Expiry Window).
- Registration referral priority: If a Buyer registers with your code at sign-up, you are credited (no expiry).
- Otherwise, Last-Click applies at checkout (most recent eligible touch).
- Tie-break: Most-recent touch wins.
- Existing users: You may claim an already-registered Buyer by emailing or in-app messaging Platehaus within 7 days of your first contact with that Buyer; subject to Platehaus’s good-faith logs and approval.
- No split credit unless Platehaus approves in writing.
4.3 Evidence & Logs. Platehaus event/referral logs (user, IP, UA, timestamps) are maintained and may be used as admissible evidence in good faith.
5. Qualified Conversions & Ineligible Orders
5.1 Qualified Conversion occurs 1 full Business Day after CE with no dispute, flags, or ongoing investigation. Minimum order value: RM500. 5.2 Timing concept: “1 full BD after CE” means the next BD after CE has elapsed in full, with no active dispute/flag/AML hold. 5.3 Ineligible: Self-buy; fraudulent or policy-violating orders; off-platform deals; orders cancelled/refunded before CE; any order under a dispute/investigation before the “1 full BD” mark. 5.4 Platform governance: Official channels are in-app and email; WhatsApp is courtesy only and not formal notice or proof.
6. Commission & Basis
6.1 Dynamic Basis. Commission is calculated as a percentage of the Final Sale Price (exclusive of taxes) based on the Affiliate Job Board settings as displayed on the Platform at the time of the Qualified Conversion (not at the time of referral, display, or commitment). The commission structure may follow a tiered fee model or other pricing methodology as determined by Platehaus in good faith and in its sole discretion. Commission rates, tiers, calculations, and methodologies are backend calculations and may vary by Affiliate Job. Affiliate Job Board displays are informational only and do not guarantee or bind Platehaus to any specific commission rate until a Qualified Conversion occurs.
6.2 Currency. MYR only. 6.3 Taxes. You are responsible for your own tax filings and liabilities; Platehaus may withhold where required by law. 6.4 Commission Calculation Requests. You may request via email the exact calculation methodology for a specific commission; Platehaus reserves the right to provide or withhold such information in its sole discretion. In the event of a dispute, Platehaus will provide sufficient information to enable dispute resolution per §15, but detailed calculation methodologies may remain confidential.
6.5 Transparency. Statements will show order ID, CE date, applied commission rate or structure identifier, and computed commission amount. Where commission calculations involve complex tiering or backend formulas, statements may show the final computed amount rather than the detailed calculation steps.
6.6 Invite-SA Discount Program. If a Buyer invites you to register as an affiliate using their referral code, the Buyer may receive 5% off the plate price (cap RM3,000) on their first purchase only. Where applicable, the discount is funded first from the Platform fee and then deducted from your commission to the extent needed to meet the discount amount, which reduces your commission for that order. This program is non-transferable, not stackable unless expressly stated, and may be modified or withdrawn at any time.
6.7 Platform-Wide Sales Programs (Commission Deduction). Platehaus may run platform-wide sales programs that fund Buyer discounts by deducting up to 50% of your commission for affected orders. Such deductions apply only after (a) at least 14 days' prior notice and (b) your explicit acknowledgement in-app or in writing. If you do not acknowledge by the effective date, you may be opted out of that program or have affected referrals excluded at Platehaus's sole discretion, without penalty. Program terms may be modified or withdrawn at any time, but any commission deductions require fresh notice and acknowledgement for the revised terms.
6.8 Seller Referral Commission Program. If you refer a seller via your referral code and that referred seller completes a sale, you may earn 2% of the plate price as a referral commission. The referred seller must not be a dealer (role "seller"), and eligibility requires the referral to be recorded on the Platform. The commission is funded first from the Platform fee and then from any affiliate commission if needed. There is no limit on the number of eligible sales. This program may be modified or withdrawn at any time.
7. Payouts
7.1 Cadence. Daily, on a T+1 Business Day basis for amounts cleared under §5 (i.e., commissions that have passed the 1 full BD post-CE check). 7.2 Rail. DuitNow Transfer to a bank account in the Partner’s own name. 7.3 Threshold. No minimum payout threshold. 7.4 Set-off. Platehaus may set-off against amounts due where a clawback applies or fees/costs are owed. 7.5 Statements. We provide reasonable statement access in your dashboard or by email.
8. Refunds, Clawbacks, Holds
8.1 Dispute Holds. If an order enters dispute/investigation before the “1 full BD after CE” mark, related commissions are held until resolution.
8.2 Clawback Window. Platehaus may claw back a paid commission only if a formal dispute is submitted within 60 days of CE and results in a full refund or order reversal.
8.3 Partial Refunds. No proration: if an order is partially refunded and no formal dispute is submitted within the 60-day window, the paid commission stands.
8.4 Bank Recalls/AML. Where bank recalls or AML reviews apply, we may hold or reverse affected commissions consistent with the Refund & Dispute Policy (Malaysia).
9. Conduct, Marketing & Brand Use
9.1 Allowed Channels. Content, social, email (opt-in only), paid ads (including brand bidding permitted), offline referrals—subject to law and these rules.
9.2 Prohibited Conduct. Spam; misleading claims; impersonation; price misrepresentation; spyware/malware; cookie stuffing; fake reviews/leads; illegal/malicious/suspicious means; bypassing the Platform; or violating ad-network/consumer disclosure rules (#ad/#affiliate required).
9.3 Creative Use. Use approved assets and claims. Pre-approval is required for paid ads that use Platehaus brand marks or imply affiliation. We may require takedown or edits at any time.
9.4 Compliance. Anti-bribery (MACC Act s.17A), sanctions/AML, PDPA, and advertising standards apply.
10. Non-Circumvention & No Solicitation
10.1 Non-Circumvention (Two-Track).

6-Month Window (Platform Introduction): If you arrange or complete an off-platform transaction with a Buyer first introduced via the Platform within 6 months of first contact, you owe a Conversion Fee equal to the Platform Fee that would have applied if completed on-platform.

12-Month Window (Attributed Introductions): Where Platehaus logged the Buyer as an Attributed Introduction, any off-platform completion within 12 months triggers an Enhanced Conversion Fee, with the applicable rate notified by Platehaus at the time of any waiver request/approval and which shall be no less than the Conversion Fee that would have applied, notified in good faith.

Carve-outs: documented pre-existing relationship; independently sourced deal (no Platform introduction); or Platehaus's written waiver.

Liquidated Damages. The Conversion Fee and Enhanced Conversion Fee are agreed liquidated damages representing a genuine pre-estimate of Platehaus's loss (including lost Platform Fees, operational and attribution costs) and not a penalty.
10.2 No Solicitation of Sellers. You must not solicit or induce Sellers to bypass Platehaus. Breach may result in ban, continuing non-circumvention during the ban, and legal action.
11. Data Protection, Confidentiality & Records (PDPA)
Each party is an independent data user (controller). You may only process minimal Buyer data shared by Platehaus for attribution and support of the referral; no independent marketing to Buyers without their separate consent. Maintain reasonable security; notify within 24 hours of any personal data incident. Keep payout/referral records for 7 years. Platehaus logs are binding in good faith.
12. Indemnity & Liability
12.1 Your Indemnity (No Cap). You indemnify, defend, and hold harmless Platehaus, its affiliates and personnel from all claims, losses, damages, and costs (including legal fees) arising from your breach, misrepresentation, unlawful marketing, IP infringement, PDPA/AML violations, or non-compliance.
12.2 Indemnification for Affiliate Job Changes. You indemnify, defend, and hold harmless Platehaus, its affiliates and personnel from all claims, losses, damages, costs, and expenses (including legal fees) arising from or relating to any changes to Affiliate Job particulars, commission structures, or calculation methodologies, including any claims by third parties or regulatory bodies, except to the extent such claims arise from Platehaus's bad faith, fraud, or willful misconduct.
12.3 No Warranties. Program and dashboards are provided "as is". Platehaus makes no warranties regarding commission rates, Affiliate Job availability, or the accuracy of Affiliate Job Board displays, which are informational only.
13. Suspension & Termination
Platehaus may disable or suspend access for quality, risk, or policy reasons. Either party may terminate for convenience on 7 days’ notice; either may terminate immediately for cause (material breach, fraud, legal risk). Survival (6 years): non-circumvention, confidentiality/PDPA, records, dispute, set-off/clawback, indemnity, and liability provisions.
14. Commission Schedule Updates & Variation
14.1 Affiliate Job Changes (No Notice Required). Any Affiliate Job and its particulars, including but not limited to commission rates, tier structures, calculation methodologies, eligibility criteria, terms, and conditions, may be modified, updated, suspended, or terminated by Platehaus at any time without prior notice to Sales Partners. Such changes apply prospectively to Qualified Conversions occurring after the change takes effect. Affiliate Job Board displays are informational only and do not create binding commitments; the commission rate applicable to a Qualified Conversion is determined by the Affiliate Job settings at the time of the Qualified Conversion, not at the time of referral, display, or commitment.
14.2 No Liability for Affiliate Job Changes. Platehaus shall not be liable for any damages, losses, costs, expenses, lost profits, or any other harm (whether direct, indirect, incidental, consequential, or otherwise) arising from or relating to any changes to Affiliate Job particulars, including modifications to commission rates, tier structures, or calculation methodologies, except to the extent such harm arises from Platehaus's bad faith, fraud, or willful misconduct. Sales Partners acknowledge that commission structures are dynamic and subject to change, and that displayed rates on the Affiliate Job Board are not binding until a Qualified Conversion occurs. No estoppel or reliance claims may be asserted based on Affiliate Job Board displays, commitments, or communications regarding commission rates prior to a Qualified Conversion.
14.3 Schedule A Updates. Schedule A is illustrative only and reflects example commission structures. Updates to Schedule A (if any) take effect on the updated Effective Date with in-app notice, prospectively only. Schedule A updates are separate from Affiliate Job changes, which are governed by §14.1.
14.4 Other updates to this Agreement follow the Terms of Use change mechanics; material changes are notified in-app/email. 14.5 Notices & Official Channels. In-app and email are official; WhatsApp is courtesy only.
15. Governing Law & Disputes
Law: Malaysia. Path: Internal Review (14 days) → non-binding internal mediation (within 30 days) → Courts of Kuala Lumpur/Selangor. TCC does not apply to Partners. Either party may seek interim/injunctive relief anytime. No arbitration unless later agreed in writing.
15.1 Commission Disputes. In the event of a dispute regarding commission calculations, Platehaus will provide sufficient information (including the applicable Affiliate Job identifier, Final Sale Price, and computed commission amount) to enable dispute resolution, even if detailed calculation methodologies remain confidential per §6.4. Platehaus's backend calculation logs and Affiliate Job settings at the time of Qualified Conversion are binding evidence in good faith.
Language: English controls; a BM translation may be provided (English prevails).
Schedule A — Commission Schedule (Sales Partner)
Basis: Commission is dynamically determined based on the Affiliate Job Board settings displayed on the Platform. Commission rates are calculated as a percentage of the Final Sale Price (exclusive of taxes) and may follow a tiered fee model or other pricing methodology as set forth in the applicable Affiliate Job.
Currency: MYR. Rounding: nearest sen (RM0.01).
Dynamic Structure: The commission structure, rates, tiers, and calculation methodologies are backend calculations that may vary by Affiliate Job and are subject to change without notice per §14.1. The rates and structure shown below are illustrative examples only and do not represent the current or guaranteed commission structure for any Affiliate Job.

Change Control: Affiliate Job particulars, including commission structures, may change without notice per §14.1. Updates to this Schedule A (if any) take effect on the updated Effective Date per §14.3. No reliance or estoppel: Partners acknowledge that they do not rely on any displayed commission rates, tier structures, or calculation methodologies until a Qualified Conversion occurs, and that such displays are informational only and subject to change without notice.
Schedule B — Attribution Rules (Operational)
- Priority 1: Registration referral (code applied at sign-up) → indefinite precedence.
- Priority 2: Last-Click at checkout (most recent eligible touch).
- Tie-break: Most-recent touch.
- Existing users: Manual claim by Partner via email or in-app within 7 days of first contact; Platehaus logs prevail in good faith.
- No split credit absent written approval.
- Compliance: Fraud flags void eligibility; official channels control.
Schedule C — Marketing & Brand Use Rules
- Disclosure: #ad / #affiliate or equivalent is mandatory where required.
- Brand bidding: Allowed, but must not mislead or impersonate; Platehaus may restrict on notice.
- Prohibited: Spam; deceptive pricing/claims; impersonation; ad-policy violations; spyware/malware; cookie stuffing; fake reviews/leads; illegal/malicious/suspicious tactics.
- Creative: Use approved assets and accurate claims; pre-approval for paid ads using Platehaus marks or implying affiliation.
- Takedown: We may request removals/edits at any time.
Schedule D — Partner Classes (Definitions; Dynamic Commission Structure)
Operationally, Platehaus may tag Partners as: (i) Content/Influencer (public audience), (ii) Sales Advisor (hands-on shepherding of specific Buyers), (iii) Corporate Partner (firms/dealer groups). Commission structures are dynamically determined per Affiliate Job as set forth in §6 and Schedule A. Different Partner classes may be eligible for different Affiliate Jobs, and commission rates may vary by Affiliate Job regardless of Partner class. Platehaus may in future publish class-specific Affiliate Job variations prospectively under §14.1 (without notice) or §14.3 (on updated Effective Date for Schedule A updates).
