Introduction

By creating an account, browsing listings, making a purchase, or using any service, tool, or feature on platehaus.my, you agree to these Terms of Use ("Terms"). These Terms apply to all users of the Platform, regardless of your role.

Role-Specific Terms:

If you act in a specific capacity (Buyer, Seller, or Sales Partner), additional terms apply in addition to these general Terms. Please review:

Buyer Terms — for users who purchase number plates
Dealer Sales Agreement — for professional dealers/consignors who list and sell number plates
Private Owner Sales Agreement — for individuals who list up to 10 plates in their own name
Sales Partner Terms — for users who participate in our sales partner program

If you act in multiple roles, each relevant role-specific document applies in addition to these Terms.

1. Definitions

Platform: platehaus.my websites, applications, APIs, messaging systems, and all related services.

Business Day (BD): a day banks are open in Kuala Lumpur. Cut-off for BD calculations: 6:00pm MYT.

Listing: a Malaysian vehicle registration number (number plate) or related right offered for sale by a Seller.

Transaction: the complete purchase process for a Listing by a Buyer, from initial payment through to the Completion Event (dual confirmation by Buyer and Seller that JPJ transfer/assignment has been completed). This includes the payment, JPJ transfer process, and final confirmation by both parties.

Sales Partner: a marketing partner who promotes Listings through our partner program and may receive compensation for attributed sales.

Completion Event (CE): dual confirmation by Buyer and Seller recorded in the Platform that JPJ transfer/assignment is completed, supported by transfer documentation (e.g., JPJ receipt, VOC/ownership update, MyJPJ/MySIKAP confirmation) uploaded via the fulfilment flow. Platehaus may perform reasonableness checks; unless flagged or in dispute, Platehaus does not independently verify authenticity at CE.

Data Features: dashboards, charts, search results, metrics, and any CSV/PDF/image/API exports that display aggregated third-party or user-submitted information.

2. Platform Role & Scope

What We Are (Merchant of Record):

platehaus.my operates under a Merchant-of-Record (MoR) model. For each retail sale:

Platehaus is the seller-of-record to the Buyer and issues the retail invoice.
Platehaus purchases the upstream entitlement from the Supplier/Seller, who issues a supplier invoice to Platehaus.
Directed delivery: Platehaus instructs the Supplier/Seller to deliver/assign the plate entitlement directly to the Buyer via the official JPJ process.
MoR assurance: If delivery/assignment fails due to Supplier breach, Platehaus will refund the Buyer; Platehaus then seeks recovery from the Supplier under the applicable Seller Agreement (Dealer Sales Agreement or Private Owner Sales Agreement).

What We Provide:

Number Plate Marketplace — connecting buyers and sellers of Malaysian vehicle registration numbers with authentic listings and JPJ-compliant transfer processes
Marketing Partner Network
AI-Powered Discovery Tools
Transaction Coordination — including fulfilment tracking, dispute handling and CE recording
Payment Handling (secure platform payment via DuitNow & RENTAS) — we accept manual bank transfers (DuitNow Transfer/QR ≤ RM50,000; RENTAS ≥ RM50,001) as retail sale proceeds. Funds are routed via secure platform payment via DuitNow & RENTAS and are not held in any custodial, fiduciary, or regulated remittance/e-money capacity.

What We Are NOT:

We are not acting in any fiduciary, custodial, or regulated payment service capacity
We do not guarantee the accuracy of all user content or Data Features
We do not provide legal, financial, or JPJ procedural advice

Title/Entitlement Flow: Title/entitlement passes directly from Supplier/Seller to Buyer at CE. Platehaus does not take title/possession.

3. Accounts, Eligibility, KYC & Electronic Records

3.1 Eligibility

You must be:

At least 18 years old
Legally capable of forming a binding contract
Not restricted or prohibited from using the Platform by applicable law

3.2 Account Requirements

By creating an account, you agree to:

Provide accurate, current, and complete information
Maintain and promptly update your account information
Maintain the security of your account credentials
Notify us immediately of any unauthorized use
Accept responsibility for all activities under your account

3.3 KYC & Verification

We may require additional documents or verification if reasonably requested for:

Fraud prevention and anti-fraud measures
Dispute resolution
Anti-money laundering (AML) and counter-terrorism financing (CFT) checks
Sanctions screening
Legal compliance
Regulatory requests

We may suspend or terminate accounts for suspected breach, fraud, or compliance risk.

3.4 Electronic Records & Signature; Evidential Logs

You agree that click-acceptance, in-app actions, and electronic signatures are legally binding. You consent to Platehaus maintaining event logs (e.g., user id, timestamps, device, IP, user agent), which may be used as admissible evidence of acceptance, notices, and CE/fulfilment steps.

4. Acceptable Use

You must NOT:

(a) Misrepresent a plate's ownership, status, or transferability
(b) List illegal, prohibited, or infringing content
(c) Solicit or induce off-platform payments to evade fees
(d) Spam, scrape, misuse, or unauthorizedly access data
(e) Manipulate attribution, referrals, or tracking systems
(f) Engage in fraud, money-laundering, or chargeback abuse
(g) Impersonate any person or entity
(h) Interfere with or disrupt the Platform's operations

Violations may result in immediate suspension or termination of your account and legal action.

5. JPJ Compliance & Documentation

5.1 Seller Responsibilities

Sellers warrant:

They have the legal right to sell/assign the plate
Listing information is accurate and not misleading
They will cooperate with JPJ requirements for assignment/transfer

5.2 Verified Badge

If a Seller uploads ownership/transfer documents, the Listing may display a "Verified" badge after surface-level checks. This badge is:

Informational only (not a guarantee or warranty)
Based on documents provided by the Seller at that time
May be revoked or withheld at any time at our discretion

5.3 Buyer Responsibilities

Buyers acknowledge that:

Platehaus does not independently verify CE unless flagged or in dispute
Buyers and Sellers remain responsible for completing JPJ steps, timelines, and documentary requirements
Buyers must perform their own due diligence before purchasing

6. Platform Tools & Features

6.1 Available Tools

platehaus.my provides various tools and features including (but not limited to):

Shortlist Tool
Number Finder AI Agent
Plate Tool (for Sellers)
Valuation assistance
Analytics & tracking
Search & filtering
Chat & messaging
Recommendation engine

Additional tools and features may be added, modified, or removed at our discretion.

6.2 Tool Usage

By using our tools and features, you agree:

To provide accurate and truthful information when using tools
Not to misuse, abuse, or exploit any tools for fraudulent purposes
That results, recommendations, or outputs are informational only
That we do not warrant accuracy, completeness, or fitness for your particular purpose
To use tools in compliance with these Terms and all applicable laws

6.3 AI-Powered Features

If you use AI-powered features (such as the Number Finder AI Agent):

You understand that AI outputs are generated content and not independently verified by platehaus.my
We do not warrant that AI recommendations are accurate, suitable, or available
You are responsible for verifying any recommendations before acting on them
AI-generated results may contain inaccuracies or errors
We reserve the right to modify, improve, or discontinue AI features at any time

6.4 Feature Limitations

We reserve the right to:

Limit, restrict, or throttle access to tools and features
Implement rate limits or usage quotas
Modify or discontinue tools without notice
Charge fees for premium or enhanced tool access (with notice)

7. Data Protection & Privacy

We process personal data according to Malaysia's Personal Data Protection Act 2010 (PDPA) and our Privacy Policy (incorporated by reference).

By using the Platform, you consent to:

Processing, storage, and cross-border transfer of data necessary to operate the Platform
Processing by our payment services
Our use of cookies and tracking technologies as described in our Cookie Policy

8. Intellectual Property & Content

8.1 Our Rights

platehaus.my, its software, and brand assets are owned by Platehaus Sdn. Bhd.

8.2 Your Rights & Licenses

You grant us a non-exclusive, worldwide, royalty-free license to:

Host, display, transmit, and promote Listing content
Use your content in marketing and promotional materials
Store and process your data as necessary to provide services

8.3 Restrictions

You must NOT:

Copy, scrape, or republish Platform data without express permission
Remove or alter copyright notices
Use automated systems to access the Platform (except for authorized API access)

9. Dispute Resolution

Governing Law: These Terms are governed by the laws of Malaysia.

Path: Internal Review (14 days) → non-binding internal mediation (within 30 days) → Courts of Kuala Lumpur/Selangor. Either party may seek interim/injunctive relief at any time. Access to the Tribunal for Consumer Claims (TCC) remains available where applicable.

Confidentiality: Mediation is confidential and without prejudice; the mediator cannot impose an outcome.

10. Liability, Warranties & Indemnities

10.1 Data Features Disclaimer

Data Features are informational only and may contain inaccuracies. You should independently verify any critical information.

10.2 Platform Provided "As Is"

The Platform is provided "as is" and "as available." We do not guarantee:

Uninterrupted operation
That Listings will complete
Accuracy of all content

10.3 Limitations

To the maximum extent permitted by law:

Exclusions: We disclaim implied warranties (merchantability, fitness, non-infringement).
Cap: Liability caps are defined in role-specific documents (Buyer Terms, Dealer Sales Agreement, Private Owner Sales Agreement). Sales Partner Terms do not include a liability cap. There is no general liability cap in these Terms of Use.
Indemnity: You indemnify us for losses arising from your breach, misrepresentation, or infringement.

Non-waivable consumer rights under Malaysian law remain unaffected.

11. Suspension, Termination & Survival

We may suspend, limit, or terminate access for:

Breach of these Terms
Fraud or security risk
Non-payment
Legal compliance requirements
Any other reason at our discretion

On termination, the following survive:

Payment obligations
Dispute resolution procedures
Liability and indemnity provisions
Intellectual property rights

12. Changes to Terms & Notices

12.1 Updates

We may update these Terms by posting a new version with an updated Effective Date:

Material changes will be notified in-app and take effect on the updated Effective Date
Fee Schedule changes for Sellers follow the notice periods in the applicable Seller Agreement
Changes required by law or payment scheme rules may take effect sooner

12.2 Notices & Official Channels

In-app messaging and email to your registered address are the official notice channels. WhatsApp and other messengers may be used for courtesy/soft updates only and do not constitute formal notice, confirmations, or exchange of Order Particulars.

12.3 Language

English controls in case of inconsistency. A Bahasa Malaysia version may be provided for convenience but does not supersede the English version.

13. Document Precedence & Miscellaneous

13.1 Document Precedence (Stack-wide)

Unless a role-specific document states a more specific order for its domain, the following order of precedence applies across the stack:

Refund & Dispute Policy (Malaysia)
Role-specific terms (Buyer Terms; Seller/Supplier Agreement; Sales Partner Terms)
These Terms of Use

For Sellers, the Purchase Order (PO) controls price/schedule over the applicable Seller Agreement where expressly stated.

13.2 Entire Agreement

These Terms (including role-specific documents and referenced policies) constitute the entire agreement about the Platform.

13.3 Assignment

You may not assign without our written consent. We may assign to an affiliate or successor.

13.4 Severability

If any term is invalid or unenforceable, it is severed and the remainder survives.

13.5 No Waiver

Our failure to enforce any right is not a waiver of that right.

13.6 Force Majeure

We are not liable for delays or failures beyond our reasonable control.

14. Invite-SA Discount Program

Platehaus may offer a buyer program where a Buyer receives 5% off the plate price (cap RM3,000) on the first purchase only when the Buyer invites their Sales Partner (SA) to register as an affiliate using the Buyer’s referral code. Eligibility requires the invitation linkage to be recorded on the Platform and may be revoked for fraud, misuse, or ineligible activity. The discount is funded first from the Platform’s fee and then from the affiliate’s commission as needed to meet the discount amount. The program is non-transferable, not stackable with other promotions unless expressly stated, and may be modified or withdrawn at any time in Platehaus’s sole discretion.

15. Seller Referral Commission Program

Platehaus may offer a referral program where a user who refers a seller via a referral code earns 2% of the plate price when the referred seller completes a sale. The referred seller must not be a dealer (role "seller"), and eligibility requires the referral to be recorded on the Platform. The commission is funded first from the Platform’s fee and then from any affiliate commission if needed. There is no limit on the number of sales eligible for this commission. This program is non-transferable and may be modified or withdrawn at any time.

Sign-Off

By using platehaus.my, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use and all applicable role-specific terms.
